Introduction
These API Terms of Use ("API Terms") will govern access to and use of the Novitora application programming interface ("API") provided by Uptraff Ltd ("Novitora", "we", "us", "our"), a company registered in England and Wales with its registered office at 124 City Road, London, England, EC1V 2NX.
Important: The Novitora API is not yet publicly available. It is planned as a future feature (coming soon). No API keys, quotas, or rate limits are issued today, and no programmatic access to the Service is currently offered. These API Terms are published in advance so that developers can review the framework that will apply once the API launches. They will take effect for you when you first obtain access to the API.
Purpose of these terms
- These API Terms are intended to govern programmatic access to Novitora's file conversion services once the API becomes available.
- Until the API launches, these API Terms are provided for information only and impose no obligations, because no API access exists.
- When the API is released, these API Terms will supplement our Terms of Service, Acceptable Use Policy, and Privacy Policy. In the event of any conflict between these API Terms and our general Terms of Service in relation to the API, these API Terms will prevail.
Definitions
- "API" means the Novitora application programming interface, once released, including its endpoints, methods, protocols, documentation, and associated tools.
- "API Client" means any application, service, or system that accesses the API.
- "Developer" means any individual or entity that accesses or uses the API.
Current status
- The API is under development and is not available for general use.
- We have not published API documentation, issued API credentials, or established rate limits, quotas, or usage plans. Any such details will be published with the API when it launches.
- References in these API Terms to features such as API keys, authentication flows, quotas, or versioning describe how the API is expected to work in future. They do not describe a service that exists today.
- We may change the planned design of the API, including any of the concepts described here, before release.
Anticipated terms of use on launch
The following describes the framework we expect to apply when the API becomes available. The specific details, including any usage limits, will be confirmed in the API documentation published at launch.
Access and credentials
- Access to the API is expected to require a Novitora account and API credentials issued through your account.
- You will be responsible for keeping your credentials secure and for activity carried out using them.
- Access may be subject to usage limits, which will be described in the API documentation at launch. No such limits exist today because the API is not yet available.
Security
- All API communication is expected to use HTTPS (TLS 1.2 or higher). Unencrypted requests will not be supported.
- You will be required to protect any credentials, tokens, and data exchanged with the API and to follow the security guidance in the API documentation.
Permitted and prohibited use
- When available, the API is intended to let you integrate Novitora file conversion into your own applications, services, and workflows.
- You will be required to use the API lawfully and in accordance with our Acceptable Use Policy, and not to use it to build a directly competing conversion service, to reverse engineer the Service, or to interfere with its security or integrity.
Data handling
- Files submitted through the API will be processed in accordance with our Privacy Policy and Data Processing Agreement.
- Uploaded files are automatically deleted within 24 hours of upload, and you will be able to delete them sooner where the API provides the means to do so.
- API data processing will take place within our EU-based infrastructure (DigitalOcean, and Google Cloud where we use it, both in Frankfurt), except that files sent to our AI and rendering tools are processed by Modal in the European Economic Area, as described in our Subprocessors page. Content delivery may involve Cloudflare edge nodes, but origin data remains in the EU.
- You will be the controller for any personal data contained in files you submit through the API and must have a valid legal basis for that processing under applicable data protection law.
Intellectual property
- The API and all associated intellectual property are and will remain the property of Uptraff Ltd.
- When the API launches, you will be granted a limited, non-exclusive, non-transferable, revocable license to use it in accordance with these API Terms.
- You retain all rights in the files you submit and in the converted output. Any license you grant us to process those files is limited to providing the conversion and ends when the files are deleted.
Availability and support
- The API is not yet available, so no availability commitment applies. When the API launches, its availability will be governed by our Service Level Agreement and the terms of any applicable plan.
- Support channels and any response commitments for the API will be described when the API is released. None exist today.
Liability
- Because the API is not yet available, these API Terms create no present obligations or liabilities in relation to API access.
- When the API launches, it will be provided on an "as is" and "as available" basis, and the limitations and disclaimers in our Terms of Service will apply. Nothing in these API Terms excludes or limits any liability that cannot be excluded or limited under the laws of England and Wales.
Changes to these API Terms
- We may update these API Terms before and after the API launches to reflect its final design, our business practices, or applicable law.
- Material changes will be communicated through our website and, once the API is available, to account holders with API access.
- The version that applies to you will be the version in force when you obtain and use API access.
Governing law
These API Terms are governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with them.
